Please read these Terms of Service ("Terms", "Terms of Service", "Agreement") carefully before using the https://www.wpocto.com website and WordPress management platform (collectively, the "Service") operated by WPOcto ("us", "we", "our", or "Company").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, customers, and others who wish to access or use the Service. By accessing or using any part of the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you must not access or use the Service.

PLEASE READ THESE TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING VARIOUS LIMITATIONS AND EXCLUSIONS OF LIABILITY, A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED, AND YOUR INDEMNITY OBLIGATIONS.

Definitions

"Client Sites" means the WordPress websites that you manage through our Service.

"Content" means all information, data, text, software, music, sound, photographs, graphics, videos, messages, or other materials that you upload, post, publish, display, or transmit on or through the Service.

"User", "You", or "Your" refers to the individual, company, or organization that has visited or is using the Service and has agreed to these Terms.

Service Description

WPOcto provides a WordPress management platform that allows users to monitor, update, secure, back up, and optimize WordPress websites from a centralized dashboard. Our Service includes, but is not limited to, automated backups, security monitoring, performance optimization, plugin and theme management, and other related services for WordPress websites.

We do not host WordPress websites directly but rather connect to and manage your existing WordPress installations. You remain fully responsible for your hosting arrangements, domain registrations, and other third-party services required for your WordPress websites to function.

Communications

By creating an Account on our Service, you agree to receive communications from us, which may include service notifications, security alerts, system updates, administrative messages, and optionally, newsletters, marketing or promotional materials. These communications are considered part of the Service and your account, and you may not opt out of service-related communications.

For marketing or promotional communications, you may opt out by following the unsubscribe link or instructions provided in any email we send or by contacting us directly. Please note that even after you opt out of marketing communications, we may continue to send you service-related communications.

Subscriptions and Payments

Access to our Service requires payment on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring basis according to the billing cycle you select ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the then-current pricing and terms unless you cancel it or WPOcto cancels it. You may cancel your Subscription renewal by contacting WPOcto customer support team or by canceling the Subscription from your account dashboard at least 14 days before the renewal date. If you cancel, your Subscription will remain active until the end of your current Billing Cycle, but will not be renewed. You will not receive a refund for any remaining days in your current Billing Cycle.

A valid payment method is required to process the payment for your Subscription. You shall provide WPOcto with accurate, complete, and up-to-date billing information, including full name, address, state, zip code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize WPOcto to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, WPOcto will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice. Your access to the Service may be suspended or terminated if payment is not received within the specified deadline.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties associated with your use of the Service, excluding only taxes based on WPOcto's net income.

Free Trial

WPOcto may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial"). The terms of the Free Trial will be specified during sign-up.

You may be required to enter your billing information to sign up for the Free Trial. By providing your billing information, you acknowledge and agree that we may automatically begin charging you for the Subscription on the first day following the end of the Free Trial period unless you cancel your Subscription prior to the end of the Free Trial period.

At any time and without notice, WPOcto reserves the right to (i) modify the terms and conditions of the Free Trial offer, (ii) restrict eligibility for any Free Trial offer, or (iii) cancel any Free Trial offer. We may terminate your Free Trial and suspend your account if we determine that you are not eligible for the Free Trial.

Fee Changes and Service Modifications

WPOcto, in its sole discretion and at any time, may modify the Subscription fees, features, specifications, or any other aspects of the Service. Any Subscription fee or Service change will become effective at the end of the then-current Billing Cycle.

WPOcto will provide you with at least thirty (30) days prior notice of any material change in Subscription fees or Service features to give you an opportunity to terminate your Subscription before such change becomes effective. Notice may be provided by email to your registered email address, through your account dashboard, or by posting a notice on our website.

Your continued use of the Service after the Subscription fee or Service change comes into effect constitutes your agreement to the modified terms, features, specifications, or fees.

Refunds and Cancellation Policy

All purchases are final, non-refundable, and non-transferable. WPOcto does not provide refunds for partial subscription periods or for periods where you did not use the Service.

In exceptional circumstances, refund requests may be considered by WPOcto on a case-by-case basis and granted in the sole discretion of WPOcto. To request a refund, please contact our customer support team with detailed information about the circumstances of your request.

If you cancel your Subscription, you may continue to use the Service until the end of your current Billing Cycle, but you will not be issued a refund for the remaining unused portion of your current Billing Cycle. Your cancellation will take effect at the end of your current Billing Cycle.

Service Level and Availability

WPOcto will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, except for planned maintenance, emergency maintenance, and factors beyond our reasonable control, including but not limited to acts of God, changes to law or regulations, embargoes, war, terrorist acts, riots, fires, earthquakes, nuclear accidents, floods, strikes, power blackouts, volcanic action, unusually severe weather conditions, and acts of hackers or third-party internet service providers.

WPOcto does not guarantee uninterrupted access to the Service and shall not be liable for any downtime, data loss, or service interruptions, including those caused by scheduled or emergency maintenance, software updates, or events outside our reasonable control.

User Content and WordPress Sites

Our Service allows you to manage WordPress websites and their content, including but not limited to posts, pages, media, themes, plugins, and other materials (collectively, "Content"). You are solely responsible for all Content that you upload, post, publish, display, transmit, or otherwise use through the Service, including its legality, reliability, and appropriateness.

By using the Service to manage your WordPress sites and Content, you represent and warrant that: (1) you own all rights to the Content or have obtained all necessary permissions and licenses to use the Content; (2) your use of the Content does not violate any applicable laws or regulations; (3) the Content does not infringe or violate any patents, trademarks, trade secrets, copyrights, privacy rights, publicity rights, or other rights of any third party; and (4) the Content does not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.

You retain all ownership rights to your Content. However, by using our Service, you grant WPOcto a worldwide, non-exclusive, royalty-free license to access, use, process, copy, distribute, perform, export, and display the Content solely for the purposes of providing and improving the Service. This license extends to trusted third parties we work with to provide the Service.

WPOcto has the right but not the obligation to monitor and review all Content processed through the Service. We may remove or refuse to display any Content that we believe violates these Terms or applicable laws, or that poses a risk to our users, the Service, or third parties.

You acknowledge and agree that WPOcto may access your account and Content as necessary to identify or resolve technical problems or respond to complaints about the Service.

Content found on or through this Service that is not your Content is the property of WPOcto or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.

Prohibited Uses and Content Restrictions

You may not use the Service for any purpose that is illegal, beyond the scope of the Service's intended use, or otherwise prohibited in these Terms. You agree not to use the Service:

WPOcto reserves the right to terminate your access to the Service immediately, without prior notice, if we determine, in our sole discretion, that your use of the Service violates these Terms.

Accounts and Security

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account credentials, including but not limited to your password and API keys. You agree to accept responsibility for any and all activities or actions that occur under your account, whether authorized by you or not. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account by emailing [email protected].

You may not share your account credentials with any third party. Each account is for a single user or organization only. If you need multiple users to access the Service, each user must have their own account or you must purchase additional user licenses as specified in your Subscription plan.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar, or obscene.

We reserve the right to refuse service, terminate accounts, remove or edit content, or deny access to the Service to anyone for any reason at any time, in our sole discretion, with or without notice.

You are responsible for all equipment, software, and internet access necessary to use the Service. You are solely responsible for ensuring that your systems meet the minimum requirements necessary to access and use the Service.

Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by WPOcto, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Service for your personal or business use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, rent, lease, or otherwise exploit any material on our Service, except as expressly permitted by these Terms or with our prior written consent.

The WPOcto name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of WPOcto or its affiliates or licensors. You must not use such marks without the prior written permission of WPOcto. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

If you believe that any content on the Service infringes upon your copyright or other intellectual property rights, please notify us by emailing [email protected] with detailed information about the alleged infringement.

Backup and Data Security

While WPOcto provides backup services for WordPress websites as part of the Service, you acknowledge and agree that:

WPOcto implements reasonable security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that you provide your data to us at your own risk. You are responsible for configuring your information technology, computer programs, and website to access our Service and for implementing your own security measures, including data backups.

Third-Party Services and Integrations

Our Service integrates with and manages WordPress websites, which may include third-party themes, plugins, services, and APIs that are not owned or controlled by WPOcto. The Service may also contain links to third-party websites or services.

WPOcto has no control over, and assumes no responsibility for, the content, privacy policies, practices, performance, or reliability of any third-party websites, services, plugins, themes, or APIs. We do not warrant the offerings, security, or functionality of any of these third-party products or services.

You acknowledge and agree that WPOcto shall not be responsible or liable, directly or indirectly, for any damage, loss, or other issues caused or alleged to be caused by or in connection with:

You are solely responsible for ensuring that your use of third-party services complies with their respective terms of service and licensing requirements.

Termination and Suspension

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to:

You agree to defend, indemnify, and hold harmless WPOcto, its parent company, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WPOcto, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, CONTENT PROVIDERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

IN NO EVENT SHALL WPOcto'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID WPOcto IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WPOcto EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WPOcto MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, OR (V) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

WPOcto DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, AND WPOcto WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

WPOcto DOES NOT WARRANT THAT THE SERVICE WILL FUNCTION WITH YOUR WORDPRESS SITES OR THAT YOUR WORDPRESS SITES WILL FUNCTION PROPERLY AFTER USING OUR SERVICE. YOU ACKNOWLEDGE THAT WORDPRESS SITES MAY REQUIRE MODIFICATIONS OR ADDITIONAL CONFIGURATIONS TO WORK WITH OUR SERVICE.

Exclusions and Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU. IN SUCH CASES, WPOcto'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.

Force Majeure

WPOcto shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, civil unrest, government actions, labor disputes, internet service provider failures or delays, or denial of service attacks.

In the event of such a force majeure event, WPOcto will use reasonable efforts to notify you of the circumstances causing the delay and will resume performance as soon as possible.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be exclusively brought in the courts located in Amsterdam, the Netherlands, and you hereby consent to the personal jurisdiction and venue of such courts.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall first be settled through good faith negotiations between you and WPOcto. If such dispute cannot be settled amicably within sixty (60) days from the date either party notifies the other in writing of the existence of a dispute, then such dispute shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

The place of arbitration shall be Amsterdam, the Netherlands. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.

Notwithstanding the foregoing, WPOcto may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion, but generally includes significant changes to the Service, pricing, or our obligations to you.

Notice of changes may be provided by sending an email to the email address associated with your account, posting a notice on our website, or by other reasonable means. If you do not agree to the new terms, you must stop using the Service before they become effective. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed severed from these Terms, and the remaining provisions will continue in full force and effect.

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or additional terms and conditions or policies published by WPOcto on the Service, shall constitute the entire agreement between you and WPOcto concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and WPOcto regarding the Service.

In the event of any conflict between these Terms and any other terms or policies linked to or referenced herein, these Terms shall govern.
